1. Acceptance of these Terms

By accessing or using the Services, creating an account, initiating an EV charging session, authorizing a payment, using an operator dashboard, or otherwise interacting with RioNadi, you agree to these Terms and our Privacy Policy.

If you use the Services on behalf of a company, utility, municipality, fleet, site host, or other organization, you represent that you have authority to bind that organization to these Terms. Separate written agreements with RioNadi will control to the extent they conflict with these Terms.

2. Our Services

RioNadi provides EV charging software and related technology services. Depending on the deployment, the Services may include:

  • charging station management system (CSMS) functionality;
  • QR-code or web-based charging-session initiation;
  • operator and customer dashboards;
  • station monitoring, diagnostics, remote controls, alerts, and analytics;
  • pricing, billing, transaction, and payment-processing functionality;
  • OCPP-based charger communications and integrations;
  • white-label, fleet, utility, municipality, site-host, and enterprise functionality; and
  • support and other related services.

Features may vary by charger, site, country, customer agreement, network configuration, or payment method.

3. Accounts and Authorized Use

You must provide accurate information when creating or using an account. You are responsible for safeguarding login credentials and for activity performed through your account or authorized access.

You may not impersonate another person, create an account using false information, circumvent access controls, or permit unauthorized use of operator or administrative functionality.

4. EV Charging Sessions

Charging availability, power level, speed, energy delivered, connector compatibility, and session duration can vary based on the charging station, vehicle, site electrical capacity, network connectivity, utility conditions, weather, hardware, and other factors outside RioNadi's control.

Some charging stations are owned or operated by third-party site hosts, utilities, fleets, municipalities, or other customers. Those parties may establish site-specific rules, access requirements, operating hours, parking restrictions, pricing, or other conditions.

A charging session may fail to start, stop unexpectedly, or be interrupted for safety, maintenance, communications, electrical, vehicle, or operational reasons. Users should follow all instructions displayed at the charging location and any instructions provided by the charger manufacturer or vehicle manufacturer.

5. Pricing, Taxes and Payments

Where a charging session or other Service requires payment, applicable pricing will be displayed or otherwise communicated before or in connection with the transaction. Charges may be based on energy consumed, time, session fees, subscriptions, service fees, taxes, or another disclosed pricing model.

By selecting a paid Service and submitting or selecting a payment method, you authorize the applicable RioNadi entity and its payment service providers to process the amounts associated with the transaction.

Payment processing may be provided by third-party payment processors, which may include dLocal Go or other providers depending on the country and payment method. Payment processors may apply their own terms, authentication requirements, fraud controls, or bank/card-network procedures.

Your bank or payment provider may display a temporary authorization or pending transaction. The timing for releasing an authorization is controlled by the relevant financial institution or payment network.

Applicable taxes or government charges may be added where required by law.

6. Billing Questions, Refunds and Disputes

If you believe a RioNadi transaction was processed incorrectly, contact us promptly at support@rionadi.com and provide enough information for us to identify the relevant charging session or transaction.

Refund eligibility is determined based on the transaction circumstances, charging records, applicable customer or site-host rules, applicable law, and the payment method used. Nothing in these Terms limits non-waivable consumer rights.

7. Third-Party Equipment and Services

The Services may interact with third-party EV chargers, telecommunications networks, utilities, payment processors, mapping providers, cloud providers, vehicle systems, site-host systems, and other third-party technologies. RioNadi does not control every third-party product or service and is not responsible for failures caused solely by systems outside our reasonable control.

8. Acceptable Use

You may not use the Services to:

  • violate applicable law or another person's rights;
  • tamper with, damage, disable, overload, or interfere with charging equipment or networks;
  • gain unauthorized access to accounts, systems, APIs, chargers, or data;
  • submit fraudulent payment information or initiate fraudulent transactions;
  • reverse engineer or misuse the Services except where such restriction is prohibited by law;
  • introduce malware or harmful code; or
  • use the Services in a manner that creates a safety or security risk.

9. Service Availability and Changes

We work to provide reliable Services, but continuous or error-free availability is not guaranteed. We may perform maintenance, modify features, update software, restrict access, or suspend functionality where reasonably necessary for security, legal compliance, maintenance, fraud prevention, safety, or system integrity.

10. Intellectual Property

RioNadi's software, website, branding, interfaces, documentation, designs, text, graphics, data models, and other proprietary materials are owned by RioNadi or its licensors and are protected by applicable intellectual-property laws.

Except for rights expressly granted under a written agreement, no ownership interest or license is transferred to you by use of the Services.

11. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis. RioNadi does not guarantee uninterrupted charging availability, compatibility with every vehicle or charger, or operation free from all faults or interruptions.

To the maximum extent permitted by applicable law, RioNadi will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, data, business opportunity, or use arising from or related to the Services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limits statutory consumer rights that cannot be waived.

12. Privacy and Data Protection

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge that operational data may be processed as necessary to provide charging, payments, support, security, reporting, and related functionality.

13. Applicable Law and Local Rights

The law applicable to a particular transaction or relationship may depend on the RioNadi entity providing the Service, the customer's location, contractual arrangements, and mandatory local law.

For Services provided through RioNadi Energy LLC, the laws of the State of Texas and applicable U.S. federal law apply, and disputes will be heard in the state or federal courts located in Houston, Harris County, Texas. For Services provided through RioNadi Colombia SAS, applicable Colombian law may apply. Mandatory consumer-protection, privacy, and other statutory rights remain unaffected.

14. Changes to these Terms

We may update these Terms when our Services, business, legal requirements, or operational practices change. The date at the top of this page identifies the current version. Where required by law, we will provide additional notice of material changes.
